Scope. These Terms of Service ("Terms") apply to business use of the hegyon.ai platform by companies, self-employed persons and other users acting in the course of their professional or commercial activity ("B2B"). They do not apply to private, non-commercial use of the "Public Chat"; the separate Public Chat Terms apply to that use (B2C).
Precedence. If the same person uses both the business platform and the Public Chat, the Terms applicable to each use govern that use. For business use, these Terms (and for Enterprise customers, the DPA) prevail; for private use of the Public Chat, the B2C Terms prevail.
By accessing or using the hegyon.ai website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
hegyon.ai is a Swiss AI operations platform for SMEs. It runs your daily work, sales and invoicing, purchasing, inventory, banking, HR and payroll, CRM, project management, wiki and ticketing, as one connected system. Available functionality depends on the subscription tier you select (Free, Individual Premium, Enterprise Lite, Pro or Full); see the pricing page for details. We may add, modify or retire features at our sole discretion, provided we do not materially diminish core functionality of a paid tier within a paid term without good cause.
To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
You agree not to:
1. hegyon.ai platform. The platform, including all software, models we own or licence, templates, documentation, designs and other materials we make available, together with the trademarks 'hegyon', 'hegyon.ai' and our logos, is and remains the property of Robert Santiago / hegyon.ai or our licensors. No rights are granted to you other than the limited right of use expressly described in these Terms.
2. Your Customer Data. You retain all rights, title and interest in the data, documents, content, prompts and configurations you upload to or generate through the platform ("Customer Data"). You grant us a non-exclusive, worldwide licence to host, process, transmit and display Customer Data solely as necessary to provide the platform, comply with mandatory law, and protect the security and integrity of the service.
3. AI outputs. Outputs produced by external Large Language Model (LLM) providers through the platform are made available to you for your business use and form part of your Customer Data. We make no warranty that outputs are accurate, original, non-infringing or fit for a particular purpose; you are responsible for reviewing outputs before acting on them. AI outputs in the Public Chat (private use) are governed exclusively by the Public Chat Terms.
4. Feedback. Suggestions and feedback you provide are licensed to us perpetually, irrevocably, worldwide and royalty-free for any purpose, without obligation.
5. No training on Customer Data. We do not use your Customer Data to train our own models. External LLM providers used by the platform are bound by no-training agreements; see our Trust Center for the current sub-processor list.
6. Restrictions. You shall not (a) reverse engineer, decompile or attempt to derive source code from the platform except to the extent expressly permitted by mandatory Swiss law; (b) resell, sublicense or commercially exploit the platform without our prior written consent; (c) scrape, mirror or systematically duplicate the platform; (d) remove or alter any proprietary notices; or (e) use our trademarks except as expressly permitted by these Terms.
Your use of the platform involves the processing of personal data. We act as data processor for personal data contained in Customer Data, and as data controller for the account, billing and platform-operational data we collect from you directly. Our processing is described in our Privacy Policy.
This role allocation (data processor for Customer Data, data controller for account, billing and operational data) applies to business use under these Terms. For private use of the Public Chat, hegyon.ai acts as data controller instead; only the separate Public Chat Terms and the privacy notice referenced there apply to that use.
For Enterprise customers, a separate Data Processing Agreement (DPA) incorporating the EU Standard Contractual Clauses and the Swiss equivalent applies; the current DPA template is available on request via legal@hegyon.ai. Where executed, the DPA prevails over conflicting terms in this Agreement with respect to processing of Customer Data.
The current list of sub-processors used to provide the platform, together with the applicable transfer mechanism for each (EU-US Data Privacy Framework / Standard Contractual Clauses / Swiss adequacy decision), is maintained on our Trust Center. Where we apply technical measures aimed at data minimisation or pseudonymisation before transmission to external LLM providers, these are applied on a best-effort basis; they do not constitute full anonymisation, and re-identification cannot be excluded. Transmitted data remains personal data and remains subject to the transfer mechanism set out in this clause.
1. Scope. This Service Level Agreement ("SLA") applies only to the Enterprise tiers (Lite, Pro and Full). The Free tier and the Individual Premium tier are provided on an "as available" basis, without service level commitments or service credits.
2. Uptime commitment. We use commercially reasonable efforts to make the platform available with the following monthly uptime, measured per calendar month and excluding Scheduled Maintenance and Excluded Events (see below):
3. Scheduled Maintenance. Routine maintenance is performed within published maintenance windows (typically Sundays 02:00 to 06:00 CET) and does not count against the uptime calculation. We give at least 48 hours advance notice for non-routine maintenance affecting availability.
4. Excluded Events. The following are excluded from the uptime calculation: (a) force majeure (natural events, war, strikes, governmental measures); (b) failures of upstream providers (LLM providers, internet backbone, our hosting provider's data centre at scale); (c) any act or omission of you or a third party authorised by you; (d) suspension or termination of your account in accordance with these Terms; (e) issues with your own internet access, networks or devices.
5. Service credits. Where measured uptime in a calendar month falls below the committed level for your tier (after exclusions), you may claim service credits in writing within 30 days of the end of the affected month:
Service credits are the sole and exclusive remedy for breach of the uptime commitment, are capped at 100 % of the affected month's fee, do not stack with the limitation of liability below, and are issued against the next invoice (no cash refund).
6. Support response targets (Enterprise tiers only).
Business hours are Monday to Friday, 09:00 to 17:00 CET, excluding Swiss public holidays observed in the canton of Zürich. Response time is the time until first substantive response from a hegyon engineer, not the time until resolution.
7. Reporting. Uptime statistics and incident summaries are published in the Trust Center.
1. Statutory mandatory exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory Swiss law. In particular, the limitations below do not apply to (a) liability for intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit) of hegyon.ai or its auxiliary persons (Art. 100 of the Swiss Code of Obligations); (b) liability under the Swiss Product Liability Act (PrHG); and (c) liability for personal injury or death.
2. Aggregate cap. Subject to clause 1, our total aggregate liability arising out of or in connection with the platform, whether in contract, tort, statute or otherwise, is capped per twelve-month period at the total fees paid by you to hegyon.ai in the twelve (12) months preceding the event giving rise to the claim. For the Free tier and any period in which no fees were paid, this cap is CHF 500.
3. Excluded categories. Subject to clause 1, we are not liable for (a) indirect, consequential, special, incidental or punitive damages; (b) lost profits, lost revenue, lost business opportunity or loss of anticipated savings; (c) loss, corruption or unavailability of data, except where this is the direct result of our slight negligence (leichte Fahrlässigkeit) in operating the platform; (d) damages caused by your acts or omissions, by third-party services not under our control, or by force majeure; (e) errors, inaccuracies, hallucinations or other deficiencies of AI-generated output where you have not reviewed the output before acting on it.
4. Backups. You are responsible for maintaining your own backup copies of any Customer Data you consider critical, in addition to the backups we provide as part of the platform.
5. Time bar. Subject to clause 1, any claim against us must be brought within twelve (12) months of the event giving rise to the claim, failing which the claim lapses.
We may suspend or terminate your access to the service at any time for violation of these terms. Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
These terms are governed by the laws of Switzerland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Zürich, Switzerland.
We may update these terms from time to time. We will notify you of material changes by posting the updated terms on our website. Your continued use of the service after changes constitutes acceptance of the revised terms.
